Meaning of Transfer of Shares
The purposeful transfer of title of the shares between the transferor (one who transfers) and the transferee is referred to as a transfer of shares (one who receives). A public corporation's shares are freely transferrable unless the firm has a solid basis to prohibit it. A private limited company's shares are not transferrable, with a few exceptions. For the transfer of shares, a transfer deed is used.

Meaning of Transmission of Shares
The transfer of shares occurs as a result of the operation of law, that is, when the holder has died or has become insane or bankrupt. It can also happen when the stockholder is a firm that has filed for bankruptcy. The transferee will be provided the rights to the shares without a transfer deed being signed, and the transmission will be registered only when the transferee provides confirmation of eligibility to the shares.

It will only be affected if a proper instrument of transfer, in Form SH -4, as specified in sub-rule 1 of Rule 11 of the Companies (Share Capital & Debenture) Rules 2014, is duly stamped, dated, and executed by or on behalf of the transferor and the transferee and specifies all relevant details such as the transferee's name, address, and occupation if any. It must be provided to the company within 60 days of the date of execution, together with a certificate of securities or a letter of allocation of securities, whichever is available.
